2. PROVISION, CONTROL AND MAINTENANCE OF THE SITE: This SITE is provided, maintained and controlled by ERS Emergency Responder Services, Inc., 2637 Saturn Way, Boise, Idaho, 83709, United States of America (“ERS”).

NOTICES AND DISCLAIMER: Subject to the TERMS AND CONDITIONS OF USE set forth in this Agreement, ERS grants you a non exclusive, non-transferable, limited right to access, use and display this SITE and the materials thereon. ERS authorizes you to view and download the information (“MATERIALS”) at this SITE only for your personal, informational, non-commercial use. This authorization is not a transfer of title or ownership in the MATERIALS and copies of the MATERIALS and is subject to the following restrictions: 1) all copyright and other proprietary notices contained in the MATERIALS must appear on all copies of the MATERIALS downloaded; 2) you must not modify the MATERIALS in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose. Links do not imply that ERS, any ERS COMPANY(IES) within ERS EMERGENCY RESPONDER SERVICES, INCORPORATED, or any of its other exisiting or potential Associate Companies, or this SITE sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links, or that any linked Web Sites is authorized to use any trademark, trade name, logo or copyright symbol of ERS, any ERS COMPANY(IES) within ERS EMERGENCY RESPONDER SERVICES, INCORPORATED, or any of its other existing or potential Associate Companies.

USER SUBMISSIONS: ERS, any ERS COMPANY(IES) within ERS EMERGENCY RESPONDER SERVICES, INCORPORATED, or any of its other existing or potential Associate Companies do not want you to, and you should not, send any confidential or proprietary information to ERS via the SITE. Any material, information or other communication you transmit or post to the information or materials contained in the SITE will be considered NON-CONFIDENTIAL AND NON-PROPRIETARY (“COMMUNICATIONS”,) unless prior and express authorization is agreed upon by ERS and you. ERS, any ERS COMPANY(IES) within ERS EMERGENCY RESPONDER SERVICES, INCORPORATED, or any of its other existing or potential Associate Companies will have no obligations with respect to the COMMUNICATIONS and will be free, and duly approved by you to an unrestricted, irrevocable, worldwide, royalty free license, to use, copy, disclose, display, publicly perform, transmit, distribute, incorporate and otherwise use the COMMUNICATIONS and all ideas, concept, knowhow, data, images, sounds, text, and other things embodied therein for any and all commercial or non-commercial purposes. You are prohibited from posting or transmitting to or from the SITE any unlawful, threatening, libelous, defamatory, obscene, pornographic, or other material that would violate any law.

6. CHANGES: ERS reserves the full right, at its sole discretion, to change, modify, add or remove any portion of this Agreement in whole or in part, at any time. Changes in this Agreement will be effective when notice of such change is posted. Your continued use of the SITE after any changes to this Agreement are posted will be considered acceptance of those changes. ERS may terminate, change, suspend or discontinue any aspect of the SITE, including the availability of any features of the SITE, at any time. ERS may also impose limits on certain features and services or restrict your access to parts or all of the SITE without notice or liability. ERS may terminate the authorization, rights and license given above and, upon such termination, you shall immediately destroy all MATERIALS.

7. APPLICABLE LAWS: ERS, any ERS COMPANY(IES) within ERS EMERGENCY RESPONDER SERVICES, INCORPORATED, or any of its otherexisting or potential Associate Companies make no representation that the information and materials contained in the SITE and any of its pages are appropriate or available for use in other locations outside the United States, and access to them from territories where their content is illegal is prohibited. Those who choose to access this SITE from other locations do so on their own initiative and are responsible for compliance with applicable local laws. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF OREGON, U.S.A., WITHOUT GIVING EFFECT TO ANY PRINCIPLES OR CONFLICT OF LAW. If any provision of this Agreement shall be unlawful, void, or unenforceable for any reason, then that provisions shall be deemed severable from this Agreement, and shall not affect the validity, voidability, or enforceability of any remaining provision of this Agreement. Each party hereby submits, in any action or judicial proceeding brought to enforce, construe, or interpret this Agreement, to the exclusive jurisdiction of the federal or state courts sitting in the county of Washington, State of Oregon, and waives any jurisdictional, venue or inconvenient forum objections to such courts. Any cause of action you may have with respect to your use of the SITE must be commenced within one (1) month after the claim or cause of action arises. This Agreement constitutes the entire agreement between ERS and you with respect to your use of the SITE and the information and materials thereon or any of its pages.
